Stock Options

Stock options form an important part of the remuneration package of many Board members, managing directors and of key personnel. Stock options entitle an individual to purchase shares in the company on preferential terms after a waiting period if defined success criteria are met. There are both “real“ stock options (see Sections 192 (2) Nr. 3, 193 (2) Nr. 4 Companies Act) and “virtual” stock options. We have many years of experience in structuring stock option schemes of all types, in implementing schemes or defending claims arising out of stock option schemes. Two leading decisions of the Federal Employment Court were obtained in favour of our clients by Employment Group partner Wolfgang Bucksch (judgements dated 28 May 2008 –  10 AZR 351/07 and 10 AZR 352/07).
